01About these Terms

These Terms constitute a binding legal agreement between you (the "User", "you" or "your") and Heyx India Pvt. Ltd., a private limited company incorporated under the Companies Act, 2013, having its registered office at 1st Cross, Halasahalli Road, Varthur, Bengaluru — 560087, Karnataka, India ("NxxtCard", "we", "us" or "our").

These Terms are an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder. They are published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021. This electronic record does not require any physical or digital signature.

02Eligibility

You may use NxxtCard only if you:

• Are at least 18 years of age and competent to contract under the Indian Contract Act, 1872
• Are a citizen of India or a business incorporated or registered in India
• Are not prohibited from receiving credit under any applicable law
• Use the Platform for lawful business purposes

If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

03Nature of our service

NxxtCard is a loan facilitation platform. We act as a marketing, technology and sourcing partner for RBI-regulated banks, NBFCs and other lending institutions ("Lenders"). We do not ourselves lend money, accept deposits or carry out credit underwriting.

Specifically, NxxtCard:

• Aggregates loan applications from business owners and channel partners
• Algorithmically matches applications to the most suitable Lender based on declared appetite, credit profile and other parameters
• Transmits eligible applications, with your consent, to one or more Lenders
• Provides status tracking, document concierge and customer support

Any loan offer, sanction letter, disbursal, interest rate, processing fee, foreclosure charge, EMI schedule or any other commercial term is determined solely by the relevant Lender and is governed by a separate loan agreement between you and that Lender. NxxtCard is not a party to that loan agreement.

04Your account

To use most features of the Platform you must register and create an account. You agree to:

• Provide true, accurate, current and complete information about yourself and your business
• Maintain and promptly update such information as it changes
• Keep your login credentials confidential and not share them with any third party
• Be solely responsible for all activity that occurs under your account
• Notify us immediately of any unauthorised use of your account at hello@nxxtcard.com

We reserve the right to suspend or terminate any account at our sole discretion where we have reasonable grounds to suspect a breach of these Terms.

05Your information & content

You retain ownership of all personal and business information, documents and content you upload to the Platform ("User Content"). By submitting User Content you grant NxxtCard a non-exclusive, royalty-free, worldwide licence to use, store, process, transmit and display that User Content solely for the purposes of operating the Platform and providing the services described in Section 3.

You warrant that all User Content is accurate, that you have the right to share it, and that doing so does not violate any law, contract or third-party right. Submitting forged, falsified or misleading documents is a criminal offence and grounds for immediate termination.

Your information is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

06Fees & charges

NxxtCard does not charge you, the business owner, any fee for using the Platform or for the matching, application or facilitation services we provide. Our revenue comes from placement fees paid by Lenders when a loan is successfully disbursed.

You remain liable for any fee, processing charge, interest, foreclosure charge, late fee or other charge levied by the Lender under your loan agreement with them. NxxtCard has no role in setting or collecting those charges.

Anyone claiming to charge you a fee on behalf of NxxtCard is unauthorised. Please report such requests immediately to hello@nxxtcard.com.

07Prohibited use

You agree not to use the Platform to:

• Submit any false, misleading or forged information or documents
• Impersonate any person or misrepresent your affiliation with any entity
• Engage in money laundering, terror financing, tax evasion or any unlawful activity
• Interfere with, disrupt or compromise the security of the Platform
• Reverse-engineer, decompile, scrape, frame or copy the Platform or its content
• Use automated means (bots, crawlers) to access the Platform without our prior written consent
• Transmit any virus, malware or other harmful code
• Violate any applicable Indian or international law

08Intellectual property

All content on the Platform — including the NxxtCard name, logo, design, text, graphics, software, code and the underlying matching engine — is the property of Heyx India Pvt. Ltd. or its licensors and is protected by Indian and international copyright, trademark and other intellectual property laws.

We grant you a limited, revocable, non-transferable, non-exclusive licence to access and use the Platform for personal, non-commercial purposes consistent with these Terms. No other rights are granted.

09Third-party services

The Platform contains links to and integrations with third-party services — Lenders, Credit Information Companies, Account Aggregators, KYC partners, payment gateways, analytics providers and others. NxxtCard is not responsible for the content, terms, policies, performance or practices of these third parties. Your use of any third-party service is at your own risk and subject to that third party's own terms.

10Disclaimers & limitation of liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, NxxtCard disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, security, uninterrupted access and freedom from error.

We do not guarantee that:

• Any application submitted through the Platform will be approved by any Lender
• The terms offered by any Lender will match the indicative ranges shown on the Platform
• The Platform will be free of bugs, downtime or interruption
• Information obtained through the Platform is suitable for your specific circumstances

To the maximum extent permitted by law, NxxtCard's aggregate liability arising out of or in connection with these Terms or your use of the Platform shall not exceed INR 5,000 (Rupees five thousand). In no event shall NxxtCard be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, lost profits, lost data or business interruption — even if advised of the possibility of such damages.

11Indemnity

You agree to indemnify, defend and hold harmless Heyx India Pvt. Ltd., its directors, officers, employees, agents, lenders and licensors from and against any claim, liability, loss, damage, cost or expense (including reasonable legal fees) arising out of (i) your breach of these Terms, (ii) your violation of any law or third-party right, (iii) your User Content, or (iv) your misuse of the Platform.

12Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason — including but not limited to breach of these Terms, suspected fraud, regulatory direction, or business reasons. You may close your account at any time by writing to hello@nxxtcard.com.

Sections that by their nature should survive termination (including 5, 8, 10, 11, 13) shall continue to apply.

13Governing law & disputes

These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter not subject to arbitration.

Any dispute, controversy or claim arising out of or relating to these Terms shall first be resolved by good-faith negotiation between the parties. If not resolved within 30 days, it shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by mutual consent. The seat and venue of arbitration shall be Bengaluru and the language shall be English.

14Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to registered users via email or in-app banner at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
